Agreement to Legal Terms
We are HR Online Consulting LLC(“Company,” “we,” “us,” or “our”). We operate medaiverdict.com (“MedAI Verdict” or the “Service”), an MD-reviewed reference for AI tools used by healthcare professionals.
These Terms of Service form a legally binding contract between you and HR Online Consulting LLC. By accessing or using the Service, you acknowledge that you have read and understood these Terms and agree to be bound by them. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT USE THE SERVICE.
1. The Service
The Service provides editorial reviews, comparison tables, and long-form articles about AI software tools marketed to healthcare professionals. Content is sourced from vendor documentation, public clinician forums, peer-reviewed literature, and editorial sign-off by a board-certified physician on our editorial team.
The Service does not provide medical advice, diagnostic services, or clinical recommendations for individual patients. Reviews of clinical software are software reviews, not endorsements of any specific clinical workflow or treatment.
2. Editorial Independence and Affiliate Disclosure
Some outbound links to AI-tool vendors are affiliate links. When you click such a link and subsequently subscribe to or purchase the linked product, we may receive a commission at no additional cost to you. Editorial rankings, MD-Verified badges, and shortlist selections are determined independently of any commercial relationship and are never sold. 3. Medical Disclaimer
Content on the Service is informational and intended for healthcare professionals evaluating clinical-software tools. Nothing on the Service constitutes medical advice, diagnosis, or treatment, and the Service is not a substitute for clinical judgment, professional medical evaluation, or institutional review.
AI tools described on the Service vary in regulatory status, HIPAA attestation, and clinical-evidence base. Implementation of any AI tool in a clinical setting is the sole responsibility of the deploying healthcare professional or organization. We make no warranty regarding the suitability of any reviewed tool for any specific clinical use.
4. Intellectual Property
We own all intellectual property rights in the editorial content, comparison tables, methodology, and site design of the Service. Vendor logos and product names appearing on the Service are the property of their respective owners and are used for identification and editorial-commentary purposes under fair use. We grant you a limited, non-exclusive, non-transferable license to access the Service for personal, professional, or institutional evaluation use.
5. User Representations
By using the Service, you represent that:
- You are at least 18 years old.
- You are accessing the Service in a professional capacity (as a clinician, administrator, researcher, student, or evaluator) and not for medical-advice purposes for yourself or others.
- You have the legal capacity to agree to these Terms.
- Your use of the Service does not violate any applicable law.
6. Prohibited Activities
You agree not to:
- Systematically scrape, harvest, or republish editorial content, comparison tables, or aggregated reviews to build a competing database without our written permission. Reasonable AI-agent access via documented endpoints (sitemap, llms.txt) is permitted.
- Disable, bypass, or interfere with security or technical features of the Service.
- Use the Service to host, transmit, or facilitate harmful, fraudulent, or unlawful content.
- Use the Service or its editorial content to make individual clinical decisions, then attribute responsibility to us. Clinical judgment is your professional responsibility.
- Reverse engineer or decompile Service components for purposes other than fair-use interoperability permitted by law.
7. Third-Party Links and Vendor Information
The Service displays third-party vendor information, comparison tables, and outbound links to vendor websites. We do not control third-party content or vendor practices and are not responsible for the accuracy, availability, or terms of third-party offerings. Visiting third-party sites and entering into vendor relationships is at your own risk and subject to those vendors' own terms.
We update vendor data (pricing, certifications, integrations) on a monthly cadence with corrections published within seven days. Data you find on the Service may have changed since last verification; always confirm material vendor claims with the vendor directly before purchasing decisions.
8. Editorial Corrections
If you spot a factual error in a tool review or comparison, please email corrections@medaiverdict.com. We aim to publish corrections within seven days.
9. Term and Termination
These Terms remain in force while you use the Service. We reserve the right to suspend or terminate access for any user who breaches these Terms or applicable law. You may stop using the Service at any time.
10. Modifications
We may update these Terms from time to time. Material changes will be reflected at the top of this page with a new “Last updated” date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of North Carolina, United States, without regard to its conflict-of-law principles. You and HR Online Consulting LLC agree to the non-exclusive jurisdiction of the state and federal courts located in North Carolina, United States for any disputes arising out of or relating to these Terms or the Service.
Before initiating any formal legal proceeding, you agree to first contact us at legal@medaiverdict.com to attempt to resolve the matter informally. If we cannot resolve a dispute within 60 days, either party may pursue available legal remedies.
12. Disclaimer and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. EDITORIAL CONTENT REFLECTS OUR REASONED OPINION AT TIME OF PUBLICATION; VENDOR DATA MAY CHANGE WITHOUT NOTICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HR ONLINE CONSULTING LLC’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE THOUSAND U.S. DOLLARS ($1,000). NO PROVISION OF THESE TERMS EXCLUDES LIABILITY FOR GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.
